Terms of Service

1. Acceptance of Terms
By creating an account, accessing, or using SupaHit, VDojo, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and SupaHit (“we,” “us,” or “our”).
By clicking “I Agree,” creating an account, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Consumer Health Data Privacy Policy, and, where applicable, our Data Processing Agreement.
2. Description of Service
SupaHit is a mobile application for martial arts practitioners to track training sessions, monitor belt/rank progression, log injuries, connect with their dojo community, and participate in social features. VDojo is a web-based dojo management platform for school owners and operators, providing student management, billing, scheduling, communications, CRM, and related business tools. Together they form an integrated martial arts ecosystem.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where practicable.
3. Eligibility and Accounts
Age Requirements
- You must be at least 13 years old to create a SupaHit account.
- Users between 13 and 17 years old must have verifiable parental or legal guardian consent to use the Service.
- Children under 13 do not create their own accounts. A parent or legal guardian may manage data about their child through the Parent Portal feature. See our Privacy Policy for details on how we handle children’s data in compliance with COPPA.
- You must be at least 18 years old to create a VDojo account or enter into a paid subscription.
Account Responsibilities
- You must provide accurate, complete, and current information when creating an account and keep it updated.
- You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- One person or legal entity per account. Sharing account credentials is prohibited.
- You must notify us immediately at security@supahit.com if you suspect unauthorized access to your account.
4. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation.
- Harass, bully, abuse, stalk, threaten, or intimidate other users.
- Upload, post, or transmit content that is unlawful, defamatory, obscene, hateful, sexually explicit, or that promotes violence or discrimination.
- Upload or distribute malware, viruses, or other harmful code.
- Send spam, chain letters, unsolicited advertising, or bulk messages through any Service feature.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
- Attempt to gain unauthorized access to any part of the Service, other users’ accounts, or any systems or networks connected to the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except as permitted by applicable law.
- Use any automated means (bots, scrapers, crawlers, spiders) to access, collect data from, or interact with the Service without our prior written consent.
- Circumvent, disable, or interfere with any security features, access controls, or usage limits of the Service.
- Use the Service in any manner that could interfere with, disrupt, or impose an unreasonable burden on our infrastructure.
- Use the Service for any commercial purpose not expressly authorized by these Terms.
- Create multiple accounts for the purpose of evading a suspension or ban.
- Sell, resell, transfer, or sublicense your account or any Service access without our written permission.
We reserve the right to investigate violations and take appropriate action, including but not limited to suspending or terminating accounts, removing content, and reporting violations to law enforcement.
5. User Content
Your Content
You retain all ownership rights in content you create or upload through the Service (“User Content”), including training logs, posts, photos, videos, comments, messages, and profile information. You are solely responsible for your User Content and the consequences of posting or publishing it.
License Grant
By submitting User Content to the Service, you grant SupaHit a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, display, distribute, and create derivative works of your User Content solely for the purposes of operating, improving, and promoting the Service. This license includes the right to reformat content for display on different devices and to use anonymized, aggregated data for analytics. This license continues for as long as your content remains on the Service and for a reasonable period after deletion to account for backups and caches.
You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not violate the rights of any third party.
Content Moderation
We may, but have no obligation to, monitor, review, screen, edit, or remove User Content at our sole discretion. We may remove or disable access to any content that we determine, in our sole judgment, violates these Terms, our policies, or applicable law, or is otherwise objectionable. We are not responsible for any User Content posted by users of the Service.
If you encounter content that you believe violates these Terms, please report it to abuse@supahit.com.
Feedback
Any feedback, suggestions, ideas, or other information you provide to us regarding the Service (“Feedback”) is non-confidential and becomes our sole property. We may use Feedback for any purpose without obligation or compensation to you.
6. Copyright Infringement and DMCA
We respect the intellectual property rights of others and expect our users to do the same. If you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement, please send a written notification to our designated copyright agent containing:
- A physical or electronic signature of the copyright owner or authorized agent.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material that is claimed to be infringing, with sufficient detail for us to locate it on the Service.
- Your contact information (name, address, telephone number, email address).
- A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

Counter-Notice
If you believe your content was removed or disabled by mistake or misidentification, you may submit a counter-notice containing: (1) your physical or electronic signature; (2) identification of the removed material and its prior location; (3) a statement under penalty of perjury that you have a good faith belief the material was removed by mistake; and (4) your name, address, and telephone number, and a statement consenting to jurisdiction of the federal court in your district (or Bexar County, Texas, if you are outside the United States).
Repeat Infringers
We will terminate the accounts of users who are determined to be repeat infringers. A repeat infringer is a user who has been notified of infringing activity more than twice and/or has had content removed from the Service more than twice.
7. Payments and Subscriptions
Billing
- VDojo subscriptions are billed monthly or annually via Stripe. SupaHit premium subscriptions are billed monthly via Stripe.
- All VDojo plans include a 14-day free trial. You will not be charged until the trial period ends.
- By providing a payment method, you authorize us to charge it for all fees incurred under your account.
- All prices are in US Dollars unless otherwise stated. You are responsible for any applicable taxes.
Cancellation
- You may cancel your subscription at any time through your account settings or the Stripe customer portal.
- Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.
- No partial refunds are issued for unused time within a billing period.
Refunds
- Refund requests must be submitted to support@supahit.com within 14 days of the charge.
- Refunds are evaluated on a case-by-case basis and are not guaranteed.
- Charges for completed billing periods are non-refundable.
Price Changes
- We reserve the right to change pricing at any time. We will provide at least 30 days’ advance notice of price changes via email.
- Existing subscriptions are honored at the current price through the end of the current billing cycle. The new price applies upon renewal.
EU/EEA/UK Right of Withdrawal
- If you are a consumer in the European Economic Area, United Kingdom, or Switzerland, you have a 14-day statutory right to withdraw from a digital service purchase without giving any reason.
- By beginning to use a paid subscription immediately upon purchase, you acknowledge and agree that you are requesting immediate performance of the Service and that you lose your right of withdrawal once the Service has been fully performed during the 14-day period. If you cancel within the 14-day period before the Service is fully performed, you are entitled to a pro-rata refund for the unused portion.
Failed Payments
- If a payment fails, we will attempt to retry the charge up to 3 times over the following 7 days.
- If payment remains unsuccessful, your account may be downgraded or suspended until payment is resolved.
8. Intellectual Property
The Service, including all software, design, text, graphics, logos, trademarks, and other content provided by SupaHit (collectively, “SupaHit Content”), is the exclusive property of SupaHit and its licensors and is protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include the right to: (a) modify or copy the Service; (b) use the Service for any commercial purpose not authorized by these Terms; (c) use data mining, robots, or similar tools on the Service; or (d) download or copy account information for another party’s benefit.
9. Martial Arts Activity Disclaimer
SupaHit is not a healthcare provider, medical service, or fitness program. The Service provides tools for tracking training activities, logging injuries, and viewing curriculum content for informational and organizational purposes only.
- Injury tracking and training data are for personal reference only and do not constitute medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional before making medical decisions.
- Curriculum content is educational and does not replace instruction from a qualified martial arts instructor. Practicing techniques without proper supervision may result in serious injury.
- You acknowledge that martial arts training involves inherent risks of physical injury. SupaHit is not responsible for injuries sustained during training, regardless of whether you used the Service to log, track, or plan your activities.
- Gamification features (streaks, XP, achievements) are motivational tools and are not intended to encourage training beyond your physical capabilities or against medical advice.
10. Data Processing for VDojo Business Customers
If you use VDojo to manage a dojo, you acknowledge that you are a data controller (or equivalent under applicable law) for the personal data of your students, leads, and members. SupaHit acts as a data processor on your behalf. Our Data Processing Agreement governs this relationship and is incorporated into these Terms by reference.
As a VDojo operator, you are responsible for:
- Obtaining necessary consents from your students and members for data collection and processing.
- Complying with all applicable data protection laws in your jurisdiction.
- Using the Service’s communication tools (email, SMS) in compliance with CAN-SPAM, TCPA, and similar regulations.
- Ensuring that your use of student data through VDojo complies with your own published privacy policy.
11. Electronic Communications Consent
By creating an account, you consent to receive electronic communications from us, including:
- Transactional communications: account confirmations, password resets, security alerts, billing receipts, and subscription notices.
- Service communications: push notifications (mobile only, with device-level consent), in-app messages, and system announcements.
- Dojo communications: if you are connected to a dojo, the dojo owner/staff may send you email and SMS messages through the Service, including class reminders, schedule changes, announcements, and promotional messages about dojo events or offerings. By joining a dojo and providing your phone number, you expressly consent to receive these SMS messages. Message frequency varies. Message and data rates may apply.
You may opt out of non-essential communications at any time through your account settings. Opting out of transactional messages is not available while your account is active. For SMS messages, you may reply STOP to any message to unsubscribe from all dojo SMS communications. Reply HELP for assistance.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any content on the Service, including user-generated content.
The Service depends on third-party infrastructure and services (including Supabase, Stripe, Expo, Resend, and Twilio). We are not responsible for outages, errors, or failures caused by these third-party services.
We may perform scheduled or unscheduled maintenance that temporarily interrupts the Service. We will endeavor to provide advance notice of planned maintenance where practicable.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUPAHIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) FIFTY US DOLLARS ($50.00).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply to the fullest extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless SupaHit, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
- Your use of the Service or any activity under your account.
- Your User Content or any content you submit, post, or transmit through the Service.
- Your violation of these Terms or any applicable law or regulation.
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights.
- Your martial arts training activities, regardless of whether you used the Service in connection with those activities.
- Any claim by a third party related to your User Content.
If you are a parent or legal guardian who has consented to a minor’s use of the Service, you agree to be bound by these Terms on behalf of the minor and are responsible for the minor’s activity on the Service.
15. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Informal Resolution
Before filing any formal proceeding, you agree to attempt to resolve disputes informally by contacting us at legal@supahit.com. We will attempt to resolve the dispute within 30 days. If the dispute is not resolved within 30 days, either party may proceed as described below.
Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that is not resolved through informal resolution shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”). For individual SupaHit users, the AAA Consumer Arbitration Rules apply. For VDojo business subscribers, the AAA Commercial Arbitration Rules apply. The arbitration shall be conducted in Bexar County, Texas, or at another mutually agreed location. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
YOU AND SUPAHIT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and SupaHit agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.
Jury Trial Waiver
YOU HEREBY WAIVE YOUR RIGHT TO A JURY TRIAL FOR ALL DISPUTES SUBJECT TO THESE TERMS.
Exceptions
- Small claims: Either party may bring an individual action in small claims court for disputes within that court’s jurisdiction.
- Intellectual property: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights without first engaging in arbitration.
Opt-Out
You may opt out of this arbitration provision by sending written notice to legal@supahit.com within 30 days of first accepting these Terms. Your notice must include your name, account email address, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, all other provisions of these Terms remain in effect.
EU/EEA/UK Exception
If you are located in the European Economic Area, United Kingdom, or Switzerland, the binding arbitration and class action waiver provisions above do not apply to you. You may bring claims in your local courts or before your local data protection supervisory authority in accordance with applicable law.
Statute of Limitations
To the extent permitted by applicable law, any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after the claim arose, or it is permanently barred. This limitation does not apply where prohibited by law, including but not limited to statutory enforcement periods under GDPR, CCPA, COPPA, or other data protection laws.
16. Force Majeure
SupaHit shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, epidemics, government actions or orders, labor disputes, cyberattacks, internet or telecommunications failures, third-party service outages (including Supabase, Stripe, Expo, Resend, or Twilio), power failures, or acts of terrorism.
17. Beta Features
From time to time, we may offer features, tools, or services that are designated as “beta,” “preview,” “early access,” or similar. Beta features are provided “as is” without any warranty. They may contain errors, bugs, or inaccuracies, and may be modified, suspended, or discontinued at any time without notice. Your use of beta features is at your sole risk.
18. Termination
Termination by You
You may delete your account at any time through your account settings or by contacting support@supahit.com. Upon deletion, your access to the Service ceases immediately.
Termination by Us
- We may suspend your account immediately and without prior notice if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or the Service.
- We may terminate your account with 30 days’ notice for any other reason.
- We may suspend accounts pending investigation of potential violations.
Effect of Termination
- Upon termination, your right to use the Service ceases immediately.
- For B2C users: your personal data will be handled in accordance with our Privacy Policy (30-day deletion, with exceptions for legal requirements).
- For VDojo B2B customers: you will have 30 days from the effective date of termination to export your data. After this period, we will delete your operational data in accordance with our Data Processing Agreement.
- We are not obligated to maintain or provide any User Content after termination.
Surviving Provisions
The following sections survive termination: Section 5 (User Content — license grants), Section 6 (DMCA), Section 8 (Intellectual Property), Section 12 (Disclaimers), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 15 (Dispute Resolution and Arbitration), Section 16 (Force Majeure), and Section 20 (Governing Law).
19. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the “Last updated” date at the top of this page.
- Notify you via email and/or in-app notification at least 30 days before the changes take effect.
- Clearly describe the material changes in the notification.
Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and delete your account before the changes take effect.
Non-material changes (such as formatting or clarification of existing terms) may be made without advance notice.
Note: Changes that expand the collection, use, or sharing of consumer health data may require your affirmative consent as described in our Consumer Health Data Privacy Policy.
20. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Subject to Section 15 (Dispute Resolution and Arbitration), any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Bexar County, Texas, and you consent to the personal jurisdiction of such courts.
21. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, Consumer Health Data Privacy Policy, and Data Processing Agreement, constitute the entire agreement between you and SupaHit regarding the Service.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
